The ProCustomer Affiliate Scheme - Principles of Operation

Introduction

An Affiliate is a business adviser, consultancy or any other person or entity that opens, operates, administers or pays for a ProCustomer account on behalf of another named business or else introduces a named business to ProCustomer.

The role of a ProCustomer Affiliate is to help their client’s business benefit from Reputation Marketing™ by operating an account on the ProCustomer system.

For each client business, the Affiliate may choose between:

  • A Managed Account, which the Affiliate operates and pays for on behalf of the client business
  • An Introduced Account, which is operated and paid for by the client business, and for which commission may be payable to the Affiliate

Provision of either type of account is subject to payment of a regular monthly subscription. If the subscription is not paid then, after an appropriate period, the account will be terminated, and the data gathered will no longer be available.

Managed Accounts

An Affiliate operates a Managed Account on behalf of and with the permission of the client business. The monthly subscription to ProCustomer is payable by the Affiliate, who can choose whether or not to pass on the cost explicitly to their client. The Affiliate can choose whether or not to grant the client business full or partial access to the data on the system.

The Affiliate must ensure that at the time of opening the ProCustomer account and thereafter it has the continuing permission of the named business to act as its agent for the purposes of using ProCustomer. The Affiliate must, at all times, operate the account in the best interests of the client business and respect the confidentiality of data. He must ensure that the client is advised promptly of any new business prospects generated through the system.

At any time the client business is free to terminate the Affiliate’s involvement and to take over the management of the account. If the client business withdraws permission for the Affiliate to manage the account, the Affiliate must promptly inform ProCustomer immediately by sending an email to support@procustomer.net giving all relevant details.

If the Affiliate wishes to stop paying the monthly subscription for a business account, then he should contact ProCustomer in good time to allow for a smooth handover without interruption of service to the client business. If the Affiliate ceases to pay the monthly subscription, ProCustomer reserves the right to contact the Affiliate's client to discuss the possibility of them taking over the operation of the account.

If ProCustomer believes, for whatever reason, that an Affiliate is no longer actively administering an Affiliate account in the best interests of the named business, then ProCustomer reserves the right, after making reasonable enquiries, to contact the named business to ascertain if it wants to take over and pay for the account that was set up in its name.

No commission is payable to the Affiliate in respect of Managed Accounts.

Introduced Accounts

An Introduced Account is set up by the client business, which is responsible for paying the subscription to ProCustomer. The Affiliate that made the introduction may be entitled to commission.

The amount of commission for new plans is currently 30% of the monthly subscription. Commission is payable on subscriptions paid, not on subscriptions falling due.

Commission on Introduced Accounts is payable indefinitely, for as long as the account is in operation.

An Affiliate may request from ProCustomer a statement showing:

  • the business accounts which he has introduced; and
  • the monthly subscriptions due under those accounts.

Commission will be paid to the Affiliate on presentation of an Invoice. Invoices may be presented once the commission due exceeds £100 or if at least three months have elapsed since the later of (i) the date of the previous invoice, and (ii) the date that commission was first earned.

Affiliates will be given a unique code which they can include in e-mails or web links to The ProCustomer System. If a user registers on the system within one week of following such a link, and subsequently applies for a business account, then the system will normally be able to link the business account to the Affiliate.

Commission is payable to a maximum of one Affiliate per business account. To determine which Affiliate is entitled to commission the system will consider:

  • is the account being set up by a registered Affiliate?
  • if not, has the user entered the Affiliate’s e-mail address (in the adviser’s e-mail box) on the new business account screen?
  • if not, did the user sign up as a result of following a link which included the Affiliate’s code?

The Affiliate Register

ProCustomer will maintain a register of Affiliates. An individual or a limited company may apply to be added to the register by completing the online Affiliate Application Form on this system.

ProCustomer may, at its absolute discretion, remove an Affiliate from its register.

The Affiliate Programme may be altered or withdrawn by ProCustomer at any time. Changes to the Principles of Operation will be notified by email to registered affiliates and published on The ProCustomer System

Affiliate/Client Relationship

The Affiliate is free to charge their client for any advice/consultancy/work carried out in connection with ProCustomer. ProCustomer is not party to any contract between the user and the Affiliate, whether for Managed or Introduced Accounts.

The ProCustomer System is provided on an “as is” basis. Affiliates should not mislead potential users about the capabilities of the system and should not make promises that the system will be effective for any particular business.

If, in the view of ProCustomer, the system has been mis-sold to a business by an Affiliate, then ProCustomer reserves the right so to inform the business owner. In these cases, ProCustomer may provide a refund to the end-user business and will not pay commission to the Affiliate.
